Terms of Service
Thank you for using Wisedox. These Terms of Service ("Terms") apply to your use of our website and service. Please read them carefully and let us know if you have any questions. By using Wisedox, you agree to be bound by these Terms. If you are using Wisedox on behalf of an organization, you agree to these Terms on behalf of that organization.
1. Service Operator
Company Wisedox s.r.o. (Karlovo náměstí 290/16, Prague 2, ID 02048124, VAT ID CZ02048124, File C 214228 registered at the Municipal Court in Prague) (hereinafter referred to as the "Operator"), is, among other things, the operator of a Website and a Service, where:
- "Website" means internet servers accessible at the URLs https://wisedox.io, including all web pages on derivative domains as well as any other websites operated by the Operator; and
- "Service" means Software as a Service (SaaS) provided by the Operator accessible at the URL https://[yourcompany].wisedox.app
2. Service Definition
Wisedox, operated by Wisedox s.r.o., provides documentation software as a service. The service is intended to facilitate creation and management of automated and secure infrastructure documentation.
3. Free Trial Accounts
New accounts begin with a free 14-day trial with full functionality and no payment required. No credit card is required to start a trial.
Customers are notified by email of every subscription state change, including when the account enters Restricted state, when it is blocked, and when data is scheduled for permanent deletion. After the trial period expires without conversion to a paid subscription, the account enters a Restricted state for 7 days. During this period the customer retains read-only access and can still convert to a paid subscription. After 7 days in Restricted state, the account is blocked and all data is permanently deleted after a further 7 days.
4. Subscription Restrictions and Data Retention
A paid subscription may enter a Restricted state in the following circumstances: payment failure, device count exceeding the purchased subscription capacity for more than 7 days within a 30-day period, or subscription expiry. In Restricted state, the customer retains read-only access to their data and can still manage their subscription.
If a Restricted subscription is not resolved, the account is blocked. For paid subscriptions, data is retained for 30 days after blocking, after which it is permanently deleted. Customers are notified by email of every subscription state change. Upon blocking, the notification includes the deletion date and advice to contact support if the block is unintended.
5. Payment
Payment terms, recurring billing, and refund policy are governed by our Payment Policy, which forms part of these Terms and is available at https://wisedox.io/payment-policy .
6. Taxation
Based on your location and billing address, the VAT applicable in your country will be added for individual customers and businesses without a valid VAT number. We will forward all VAT payments to the responsible tax authorities on a quarterly basis.
7. Service Abuse
We reserve the right to suspend or terminate accounts that misuse the service. Examples of misuse include excessive requests, excessive data transfer, or repeatedly exceeding purchased device capacity without resolving overuse within the allowed grace period.
Before any termination, we will notify you of the concerning behaviour and give you a reasonable opportunity to address it. During this period, we may limit your account functionality to prevent further misuse. Termination will only occur if the behaviour continues after notification. In cases of severe or illegal misuse, we reserve the right to act without prior notice.
If your account is terminated due to misuse following the notification process, no refund will be issued for the remaining subscription period. If you believe the termination was unjustified, you may contact our support team to dispute the decision. If termination occurs due to a material failure on Wisedox's part, a pro-rated refund will be issued for the unused complete months of the subscription period remaining after the termination date.
8. Intellectual Property
Subject to these Terms and payment of applicable fees, Wisedox grants you a limited, non-exclusive, non-transferable right to access and use the Service solely for your internal business purposes during your subscription period.
Wisedox and its suppliers retain all rights, title and interest in and to the Service and any related technology, documentation and intellectual property. No rights in the Service are granted to you other than those explicitly stated in these Terms. You may not copy, modify, reverse engineer, or create derivative works of the Service.
Without limiting the above, you specifically agree not to:
- reverse engineer, decompile, decrypt, or disassemble the Service or attempt to access its source code or underlying algorithms;
- publish benchmarks, performance data, or comparative analyses of the Service without prior written consent from Wisedox;
- probe, scan, or test the vulnerability of the Service or any related infrastructure without the express written consent of Wisedox in each instance;
- transmit or introduce any malicious code, virus, worm, or harmful content in connection with the Service; or
- directly or indirectly exploit or publicise any bugs or vulnerabilities in the Service. Any discovered vulnerabilities should be reported to [email protected].
9. Customer Data
You retain full ownership of all data you submit to the Service. By using the Service, you grant Wisedox the right to process your data solely to provide, maintain and improve the Service. Wisedox will not sell your data to third parties. Wisedox may use anonymised and aggregated data derived from your usage for product improvement purposes.
10. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Wisedox immediately at [email protected] if you become aware of any unauthorised access to or use of your account. Wisedox will not be liable for any loss or damage arising from unauthorised use of your account where you have failed to keep your credentials secure.
11. Feedback
If you submit comments, suggestions or other feedback regarding the Service, Wisedox may use such feedback without restriction or any obligation to you.
12. Disclaimer
The Service is provided "as is" and "as available." Wisedox makes no warranties, express or implied, regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Your use of the Service is at your own risk.
13. Limitation of Liability
Wisedox implements industry-standard security measures to protect your data, including encryption in transit and at rest, hardware redundancy, and geographic backup. Your data is backed up on a physically separated location. However, to the fullest extent allowed by law, Wisedox (and Wisedox s.r.o.) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:
- your access to, use of, inability to access, or inability to use our service; or
- any unauthorized access, use, or alteration of your content.
In any case, Wisedox's total aggregate liability to you under these Terms shall not exceed the fees paid by you to Wisedox in the twelve (12) months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Wisedox and its officers, directors, and employees from any third-party claims, damages, or expenses (including reasonable legal fees) arising from your misuse of the Service, your breach of these Terms, or your violation of any applicable law in connection with your use of the Service.
15. Linked Products and Services
Sites that we link to may contain links to websites, services, and advertisements that we neither own nor control. We do not endorse or assume responsibility for any third-party sites, information, materials, products, or services.
16. Notices
Wisedox may provide notices and communications to you via email, through the Service, or by other reasonable means using the contact details associated with your account. Official notices to Wisedox must be sent to [email protected]. It is your responsibility to keep your contact details up to date.
17. Entire Agreement
These Terms, our Privacy Policy, and our Payment Policy constitute the entire agreement between you and Wisedox. If any provision of these Terms is found to be unenforceable, the remaining provisions of these Terms will remain in full force and effect.
18. Modification
The Terms may be modified from time to time. We will notify you about any changes at least 30 days before they take effect. You agree to accept any changes or revisions to the Terms by continuing to use our service after the effective date of the changes.
If you do not agree with the updated Terms, you may stop using the service before the changes take effect. In such case, a pro-rated refund will be issued for the unused complete months of your subscription period remaining after the effective date of the changes.
19. Force Majeure
Wisedox will not be liable for any delay or failure to perform any obligation under these Terms if such delay or failure results from events beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, fuel, energy, labour or materials.
20. Governing Law
These Terms shall be governed by the laws of the Czech Republic, without regard to its conflict of law provisions.
All disputes that may arise in the course of or in connection with the provision of our services shall be finally settled, excluding the jurisdiction of the ordinary courts, by arbitration before the Arbitration Court of the Czech Chamber of Commerce and the Agrarian Chamber of the Czech Republic in Prague in accordance with its Rules online by a single arbitrator appointed by the President of the Arbitration Court of the Czech Chamber of Commerce and the Agrarian Chamber of the Czech Republic.
